The quick read on Illinois registered agents

Every Illinois LLC is legally required to maintain a registered agent with a physical street address in the state. The role is to receive service of process (lawsuit papers), state tax notices, and other official government mail on the LLC's behalf. You can serve as your own agent if you live in Illinois and meet the requirements, or hire a commercial service for typically $99 to $299 per year.

Illinois-specific rules matter. The statute is 805 ILCS 180/1-35. The registered agent's address goes on the public state record, so most owners who want privacy use a paid service to keep their home address off the record. Owners who live in the state and don't mind the public listing often save $100 to $250 per year by serving as their own agent.

Who can serve as a registered agent in Illinois

Illinois allows an individual Illinois resident at least 18 years old with an Illinois business address or residence, or a domestic or foreign entity authorized to transact business in Illinois, to serve as registered agent. PO boxes are not accepted. The agent must be available during business hours to accept service of process.

Illinois does not operate a commercial registered agent registry, so any qualifying person or entity can serve without pre-registration. What sets Illinois apart procedurally is the lack of online filing for LLC registered agent changes. Everything runs through paper forms filed with the Springfield office. The LLC's own member or manager can serve if they meet the residency rule. For context on the full Illinois formation process, see our Illinois LLC formation guide.

What Illinois requires of a registered agent

  1. Physical street address in Illinois

Not a PO box, not a mail-drop. The address becomes part of the public record visible on the Secretary of State's business entity search.

  2. Available during business hours

Typically 9 AM to 5 PM, Monday through Friday. The agent has to be physically present (or have staff present) to accept service, not just reachable by phone or email.

  3. At least 18 years old and a resident or registered entity

Individual agents must be 18+ and reside in Illinois. Entity agents must be registered to transact business in Illinois.

  4. Written consent on file

Illinois requires the registered agent to consent in writing to serve. Formation services handle this automatically when you sign up. For an individual agent, a simple signed consent letter suffices.

Choosing the right registered agent in Illinois

Illinois residents running the LLC from a home or office address can legitimately self-serve and save $100 to $250 per year. Your address goes on the public Secretary of State record. The $75 annual report is the main compliance checkpoint, due before the first day of the LLC's anniversary month, and self-serve agents need to track this manually.

For non-Illinois residents, a commercial service is required. National pricing runs $99 to $149 per year (Bizee $119, Northwest $125, ZenBusiness $99 first year). Illinois has a deep local boutique market in Chicago, with some agents at $75 to $125 per year offering CBD office addresses for privacy. Northwest at $125 is the national default. Because Illinois requires paper filings for agent changes, switching between services is slower than in states like Colorado, so picking the right service the first time matters more here than elsewhere.

If you let your Illinois registered agent lapse

Under 805 ILCS 180/35-25, the Illinois Secretary of State can administratively dissolve an LLC that fails to maintain a registered agent or file its $75 annual report. Reinstatement requires a $200 reinstatement fee plus any unpaid annual reports ($75 base plus $100 per year late penalty). A three-year lapse can easily cost $575 or more ($200 + three $75 reports + $300 in late fees). Illinois also separately bills for unfiled $75 reports during the dissolved period, which can compound.

Frequently Asked Questions

  • Who can serve as a registered agent for an Illinois LLC?

An individual Illinois resident at least 18 years old with an Illinois business address or residence, or a domestic or foreign entity authorized to transact business in Illinois. PO boxes are not accepted. The agent must be available during business hours to accept service of process. The LLC's member or manager can serve if they meet the residency rule.

  • How much does an Illinois registered agent service cost?

National services price between $99 and $149 per year (Bizee $119, Northwest $125, ZenBusiness $99 first year). Illinois has a deep Chicago-based local boutique market with some agents at $75 to $125 per year, often offering CBD office addresses for privacy. LegalZoom charges $249 without meaningfully better service.

  • Can I be my own registered agent in Illinois?

Yes, if you're an Illinois resident at least 18 years old with an Illinois business address or residence and availability during business hours. Your address goes on the public Secretary of State record. You'll also need to track the $75 annual report deadline (before the first day of the LLC's anniversary month) manually.

  • What does it cost to change my Illinois registered agent?

$25 for Form LLC-1.36/1.37 Statement of Change of Registered Agent and/or Registered Office. Illinois does not accept this filing online for LLCs; it must be mailed to the Springfield office or submitted in person. Processing typically takes about 10 business days. Most commercial services handle the paperwork for free when you switch your RA to them.

  • What happens if my Illinois LLC loses its registered agent?

The Secretary of State can administratively dissolve the LLC under 805 ILCS 180/35-25 after about 60 days. Reinstatement costs $200 plus any unpaid $75 annual reports plus $100 per year in late fees. A three-year lapse can total $575 or more to fully remedy, which is on the high end for Midwest states.

  • Why doesn't Illinois offer online filing for registered agent changes?

Illinois's business filings portal handles formation and annual report filings online, but LLC registered agent changes still require paper forms filed with the Springfield office. This is partly legacy and partly a function of Illinois's smaller digitization budget compared to Delaware, Colorado, or Washington. The practical impact is that switching RA services is slower in Illinois than most states, so picking a reliable service initially matters more.

  • Do I need a registered agent for a Illinois LLC?

Yes. Illinois law requires every LLC to designate a registered agent with a physical street address in Illinois and availability during business hours. There is no exception for inactive or small LLCs. If the LLC loses its registered agent and doesn't designate a replacement within the state's grace period, Illinois begins administrative dissolution of the entity.

  • How much does a registered agent service cost in Illinois?

National services range from $99 per year (ZenBusiness) to $299 per year (Firstbase). The $190 average is close to the market median. Illinois-based local registered agent services also operate in the state, typically pricing between $50 and $150 per year.

  • How do I change my registered agent in Illinois?

File Statement of Change of Registered Agent and/or Registered Office (Form LLC-1.36/1.37) with Illinois Secretary of State, Department of Business Services. The fee is $25. Processing takes about 10 business days. Most formation services handle this paperwork for free when you sign up.

  • Is the registered agent fee tax deductible?

Yes. Registered agent fees are an ordinary and necessary business expense deductible on the LLC's federal tax return (Schedule C, Form 1065, or 1120/1120-S depending on tax treatment). Illinois state tax treatment follows federal on this deduction. Keep the invoices with your tax records.
