Registered agent for an Indiana LLC
Data last updated: Apr 22, 2026The quick read on Indiana registered agents
Every Indiana LLC is legally required to maintain a registered agent with a physical street address in the state. The role is to receive service of process (lawsuit papers), state tax notices, and other official government mail on the LLC's behalf. You can serve as your own agent if you live in Indiana and meet the requirements, or hire a commercial service for typically $99 to $299 per year.
Indiana-specific rules matter. The statute is Ind. Code § 23-0.5-4-1 through § 23-0.5-4-11. The registered agent's address goes on the public state record, so most owners who want privacy use a paid service to keep their home address off the record. Owners who live in the state and don't mind the public listing often save $100 to $250 per year by serving as their own agent.
Who can serve as a registered agent in Indiana
Indiana allows an individual Indiana resident at least 18 years old with an Indiana street address, or a domestic or foreign entity authorized to do business in Indiana, to serve as registered agent. PO boxes are not accepted. The agent must be available during business hours to accept service of process.
Indiana operates a commercial registered agent framework under Ind. Code § 23-0.5-4-6. Commercial agents (those serving multiple entities) can file a listing with the Secretary of State to simplify designations. Most major national services are registered. Individual agents serving a single LLC don't need separate registration. For the full formation setup, see our Indiana LLC formation guide.
What Indiana requires of a registered agent
- Physical street address in Indiana
Not a PO box, not a mail-drop. The address becomes part of the public record visible on the Secretary of State's business entity search.
- Available during business hours
Typically 9 AM to 5 PM, Monday through Friday. The agent has to be physically present (or have staff present) to accept service, not just reachable by phone or email.
- At least 18 years old and a resident or registered entity
Individual agents must be 18+ and reside in Indiana. Entity agents must be registered to transact business in Indiana.
- Written consent on file
Indiana requires the registered agent to consent in writing to serve. Formation services handle this automatically when you sign up. For an individual agent, a simple signed consent letter suffices.

Choosing the right registered agent in Indiana
Indiana residents can self-serve from a home or business address and save $100 to $250 per year. The main compliance checkpoint is the biennial Business Entity Report ($32 online, every two years), due in the LLC's anniversary month. Biennial cadence means half the reminder frequency of annual states, which actually makes self-serve lapses more common because the deadline is easier to forget.
For non-Indiana residents, a commercial service is required. National pricing runs $99 to $149 per year (Bizee $119, Northwest $125, ZenBusiness $99 first year). Indiana has a thin local boutique market, mostly Indianapolis-based. Northwest at $125 is the usual pick, especially because they track biennial report deadlines along with the RA designation. LegalZoom at $249 isn't worth the premium for a standard Indiana LLC.

If you let your Indiana registered agent lapse
Under Ind. Code § 23-18-10, Indiana can administratively dissolve an LLC that fails to maintain a registered agent or file its Business Entity Report. Reinstatement requires a $30 Application for Reinstatement plus any unpaid Business Entity Reports ($32 online or $50 paper per cycle). Because Indiana reports biennially, a lapsed LLC might owe one or two unfiled reports rather than multiple. A two-cycle lapse costs roughly $94 to fully remedy, which is among the cheapest recovery paths in the country.

Frequently Asked Questions
-
Who can serve as a registered agent for an Indiana LLC?
An individual Indiana resident at least 18 years old with an Indiana street address, or a domestic or foreign entity authorized to do business in Indiana. PO boxes are not accepted. The agent must be available during business hours. The LLC's member or manager can serve if they meet the residency rule.
-
How much does an Indiana registered agent service cost?
National services price between $99 and $149 per year (Bizee $119, Northwest $125, ZenBusiness $99 first year). Indiana has a thin local boutique market, mostly Indianapolis-based. LegalZoom charges $249 without meaningfully better service than Northwest at $125.
-
Can I be my own registered agent in Indiana?
Yes, if you're an Indiana resident at least 18 years old with an Indiana street address and availability during business hours. Your address appears on the public INBiz record. You'll need to track the biennial Business Entity Report ($32 online, every two years, due in the LLC's anniversary month).
-
What does it cost to change my Indiana registered agent?
$20 online through INBiz or $30 by paper filing. Online processing typically takes 1 to 2 business days. Most commercial services handle the change for free when you switch your RA to them, bundling the $20 state fee into the first-year service price.
-
What happens if my Indiana LLC loses its registered agent?
Indiana can administratively dissolve the LLC under Ind. Code § 23-18-10 after about 60 days. Reinstatement costs $30 plus any unpaid Business Entity Reports ($32 online per cycle). A two-cycle lapse costs roughly $94 to fully remedy. Indiana's reinstatement math is among the cheapest in the Midwest.
-
Why does Indiana report biennially instead of annually?
Indiana's Business Entity Report is filed every two years (due in the anniversary month of formation). The biennial schedule reduces filing volume for the Secretary of State but means LLC owners lose the annual reminder rhythm that most states enforce. Self-serve registered agents miss Indiana biennial deadlines more often than annual ones in other states. A commercial RA service that tracks the two-year cycle is worth the $125 per year if compliance discipline isn't your strength.
-
Do I need a registered agent for a Indiana LLC?
Yes. Indiana law requires every LLC to designate a registered agent with a physical street address in Indiana and availability during business hours. There is no exception for inactive or small LLCs. If the LLC loses its registered agent and doesn't designate a replacement within the state's grace period, Indiana begins administrative dissolution of the entity.
-
How much does a registered agent service cost in Indiana?
National services range from $99 per year (ZenBusiness) to $299 per year (Firstbase). The $190 average is close to the market median. Indiana-based local registered agent services also operate in the state, typically pricing between $50 and $150 per year.
-
How do I change my registered agent in Indiana?
File Statement of Change of Registered Agent or Office (Form 26140) with Indiana Secretary of State, Business Services Division. The fee is $20. Online filing is accepted. Processing takes about 2 business days. Most formation services handle this paperwork for free when you sign up.
-
Is the registered agent fee tax deductible?
Yes. Registered agent fees are an ordinary and necessary business expense deductible on the LLC's federal tax return (Schedule C, Form 1065, or 1120/1120-S depending on tax treatment). Indiana state tax treatment follows federal on this deduction. Keep the invoices with your tax records.
