Registered agent for an Ohio LLC
Data last updated: Apr 22, 2026The quick read on Ohio registered agents
Every Ohio LLC is legally required to maintain a registered agent with a physical street address in the state. The role is to receive service of process (lawsuit papers), state tax notices, and other official government mail on the LLC's behalf. You can serve as your own agent if you live in Ohio and meet the requirements, or hire a commercial service for typically $99 to $299 per year.
Ohio-specific rules matter. The statute is Ohio Rev. Code § 1706.09. The registered agent's address goes on the public state record, so most owners who want privacy use a paid service to keep their home address off the record. Owners who live in the state and don't mind the public listing often save $100 to $250 per year by serving as their own agent.
Who can serve as a registered agent in Ohio
Ohio accepts either an individual Ohio resident at least 18 years old or a domestic or foreign entity authorized to do business in Ohio. The agent must have a physical Ohio street address (no PO boxes) and sign an Acceptance of Appointment on Form 521 or the equivalent online filing. Unlike Delaware and Wyoming, Ohio does not operate a separate commercial registered agent registry, so any qualifying individual or entity can serve for any number of LLCs without a second layer of paperwork.
The LLC's own member or manager can serve as statutory agent if they meet the Ohio residency and address requirements. Because Ohio has no annual report for LLCs, the statutory agent is effectively the state's primary communication channel with the entity, which makes a reliable address more important than in states with a second touchpoint.
What Ohio requires of a registered agent
- Physical street address in Ohio
Not a PO box, not a mail-drop. The address becomes part of the public record visible on the Secretary of State's business entity search.
- Available during business hours
Typically 9 AM to 5 PM, Monday through Friday. The agent has to be physically present (or have staff present) to accept service, not just reachable by phone or email.
- At least 18 years old and a resident or registered entity
Individual agents must be 18+ and reside in Ohio. Entity agents must be registered to transact business in Ohio.
- Written consent on file
Ohio requires the registered agent to consent in writing to serve. Formation services handle this automatically when you sign up. For an individual agent, a simple signed consent letter suffices.

Choosing the right registered agent in Ohio
Ohio's calculus is cleaner than most. If you live in Ohio and run the LLC from a home or office address there, serving as your own agent saves $100 to $150 a year with almost no downside, since Ohio has no annual report that needs separate handling. If you're forming a single-member Ohio LLC and the company operates out of your home, the public-record exposure of your home address is the main tradeoff to weigh.
For non-Ohio residents or owners who prefer the address separation, Northwest at $125 per year is the standard mainstream option, Bizee lists $119 after year one, and ZenBusiness starts at $99. Ohio-specific boutique services sometimes price below $100. The absence of a commercial agent registry keeps the market competitive and means switching is friction-free beyond the $25 state filing fee.

If you let your Ohio registered agent lapse
Under Ohio Rev. Code § 1706.09, the Secretary of State can cancel an LLC that fails to maintain a statutory agent after 30 days of written notice. Cancellation knocks the LLC out of good standing and exposes members to personal liability for acts taken during the gap. Reinstatement uses Form 525-A with a $25 filing fee, which also functions as the new Acceptance of Appointment. Reinstatement must be filed within 2 years of cancellation, or the LLC name becomes available to other filers and the entity has to be reformed from scratch.

Frequently Asked Questions
-
Who can be a statutory agent for an Ohio LLC?
An Ohio resident at least 18 years old, or a domestic or foreign entity authorized to do business in Ohio. The agent must have a physical Ohio street address and sign an Acceptance of Appointment. Ohio does not operate a commercial registered agent registry, so any qualifying individual or entity can serve multiple LLCs without separate registration. The LLC's own member or manager can serve, provided they meet the residency requirement.
-
What does an Ohio statutory agent service cost?
National services typically charge $99 per year (ZenBusiness) to $250 per year (LegalZoom). Northwest at $125 per year and Bizee at $119 per year (after a free first year with formation) are the most common mainstream choices. Ohio-specific boutique services sometimes price in the $50 to $85 range because Ohio has no commercial agent registry and the local market is competitive.
-
Can I be my own statutory agent in Ohio?
Yes, if you're an Ohio resident, at least 18, and have a physical Ohio street address (no PO boxes). You must sign an Acceptance of Appointment on Form 521 or through the Ohio Business Central online filing. Your home or office address becomes public on the Ohio Secretary of State entity record, which is the main reason some members hire a service even when they technically qualify.
-
What does it cost to change my statutory agent in Ohio?
$25 for Form 521 Statutory Agent Update, filed with the Ohio Secretary of State. Online filing through Ohio Business Central is accepted and typically processes in 3 to 7 business days. Paper filings take about 10 to 14 business days. Most formation services handle the paperwork for free when you switch your statutory agent to them, though the $25 state fee still applies.
-
What happens if my Ohio LLC loses its statutory agent?
The Secretary of State sends written notice and the LLC has 30 days to appoint a replacement before cancellation under Ohio Rev. Code § 1706.09. Once cancelled, limited liability protection lapses. Reinstatement costs $25 via Form 525-A and must be filed within 2 years or the LLC name becomes available to other filers and the entity has to be reformed.
-
Does Ohio require an annual report for LLCs?
No. Ohio is one of a handful of states with no annual or biennial LLC report. This means the statutory agent is effectively the only ongoing connection between the LLC and the Secretary of State. Keeping the agent address current via Form 521 is the main compliance obligation between formation and eventual dissolution. See the Ohio LLC formation page for the full annual compliance picture.
-
Does Ohio have a commercial registered agent registry?
No. Unlike Delaware, Wyoming, and several other states, Ohio does not maintain a separate registry for commercial agents acting for multiple LLCs. This means any qualifying Ohio resident or authorized entity can serve as statutory agent for any number of companies, which keeps local service pricing competitive and makes switching agents a single-form process.
-
Do I need a registered agent for a Ohio LLC?
Yes. Ohio law requires every LLC to designate a registered agent with a physical street address in Ohio and availability during business hours. There is no exception for inactive or small LLCs. If the LLC loses its registered agent and doesn't designate a replacement within the state's grace period, Ohio begins administrative dissolution of the entity.
-
Can I be my own registered agent in Ohio?
Yes, if you meet Ohio's requirements: you live in Ohio, you have a physical non-PO-box address in the state, you're at least 18 years old, and you're available during normal business hours to accept service of process. The tradeoff is that your home address becomes part of the public state business record for anyone to search.
-
How much does a registered agent service cost in Ohio?
National services range from $99 per year (ZenBusiness) to $299 per year (Firstbase). The $190 average is close to the market median. Ohio-based local registered agent services also operate in the state, typically pricing between $50 and $150 per year.
-
How do I change my registered agent in Ohio?
File Statutory Agent Update (Form 521) with Ohio Secretary of State, Business Services Division. The fee is $25. Online filing is accepted. Processing takes about 5 business days. Most formation services handle this paperwork for free when you sign up.
-
Is the registered agent fee tax deductible?
Yes. Registered agent fees are an ordinary and necessary business expense deductible on the LLC's federal tax return (Schedule C, Form 1065, or 1120/1120-S depending on tax treatment). Ohio state tax treatment follows federal on this deduction. Keep the invoices with your tax records.
