Registered agent for an Oregon LLC
Data last updated: Apr 22, 2026The quick read on Oregon registered agents
Every Oregon LLC is legally required to maintain a registered agent with a physical street address in the state. The role is to receive service of process (lawsuit papers), state tax notices, and other official government mail on the LLC's behalf. You can serve as your own agent if you live in Oregon and meet the requirements, or hire a commercial service for typically $99 to $299 per year.
Oregon-specific rules matter. The statute is ORS 63.111 and 63.114. The registered agent's address goes on the public state record, so most owners who want privacy use a paid service to keep their home address off the record. Owners who live in the state and don't mind the public listing often save $100 to $250 per year by serving as their own agent.
Who can serve as a registered agent in Oregon
Oregon requires an individual Oregon resident at least 18 years old with a physical Oregon street address, or a domestic or foreign entity authorized to do business in Oregon. The registered agent's business office must match the registered office listed on the LLC's articles, and PO boxes don't qualify. Oregon does not operate a commercial registered agent registry, so any qualifying person or entity can serve as agent for multiple LLCs without separate registration.
The LLC's member or manager can serve as registered agent if they meet the Oregon residency and address requirements. Written consent to serve is filed with the Secretary of State. Because Oregon's Information Change filing is free, switching agents imposes no state-side friction beyond the paperwork itself.
What Oregon requires of a registered agent
- Physical street address in Oregon
Not a PO box, not a mail-drop. The address becomes part of the public record visible on the Secretary of State's business entity search.
- Available during business hours
Typically 9 AM to 5 PM, Monday through Friday. The agent has to be physically present (or have staff present) to accept service, not just reachable by phone or email.
- At least 18 years old and a resident or registered entity
Individual agents must be 18+ and reside in Oregon. Entity agents must be registered to transact business in Oregon.
- Written consent on file
Oregon requires the registered agent to consent in writing to serve. Formation services handle this automatically when you sign up. For an individual agent, a simple signed consent letter suffices.

Choosing the right registered agent in Oregon
Oregon rewards DIY more than most states because the state doesn't charge anything to change agents on file. If you live in Oregon and run the LLC from an Oregon address, self-serving is genuinely a strong option and saves $100 to $150 per year. The main tradeoff is the public-record exposure of your home or office address on the Oregon Business Registry.
For non-Oregon residents or Oregon residents who prefer address separation, Northwest at $125 per year is the standard choice, Bizee lists $119 after year one, and ZenBusiness starts at $99. Oregon-specific boutique services price as low as $35 to $50 per year because the state makes switching free and the market is unusually competitive. Note that Oregon requires online filing for most annual renewals, so a service that handles the $100 annual renewal alongside the agent duty is worth the premium for owners who want the full compliance layer.

If you let your Oregon registered agent lapse
Under ORS 63.647, Oregon may administratively dissolve an LLC that goes 45 days without a registered agent or registered office, or fails to notify the Secretary of State of changes within 45 days. The registered agent's authority survives administrative dissolution until the LLC designates a replacement or is fully wound up. Reinstatement under ORS 63.654 must be filed within 5 years of dissolution. The fee is $100 plus $100 for each missed annual renewal, which means a 2-year lapse costs $300 to cure. Oregon's 5-year reinstatement window is one of the longest in the country.

Frequently Asked Questions
-
Who can be a registered agent for an Oregon LLC?
An Oregon resident at least 18 years old with a physical Oregon street address, or a domestic or foreign entity authorized to do business in Oregon. The agent's office must match the registered office in the LLC's articles. Oregon doesn't operate a commercial registered agent registry, so any qualifying person or entity can serve as agent for any number of LLCs. The LLC's member or manager can serve if they meet the residency requirement.
-
What does an Oregon registered agent service cost?
National services range from $99 per year (ZenBusiness) to $299 per year (Firstbase). Northwest at $125 per year flat and Bizee at $119 (after a free first year with formation) are standard mainstream picks. Oregon-specific boutique services sometimes price at $35 to $50 per year because the state makes switching free. At that price point, compliance reminders and mail forwarding are usually thinner.
-
Can I be my own registered agent in Oregon?
Yes, if you're an Oregon resident, at least 18, and have a physical Oregon street address (no PO boxes). Your address becomes part of the public Oregon Business Registry entity record. Because Oregon charges $0 to switch agents later, you can start as your own agent and move to a service down the road at zero state-side cost, which is not how most states work.
-
What does it cost to change my Oregon registered agent?
$0. Oregon charges no filing fee for the Information Change form that updates the registered agent or registered office. This makes Oregon the cheapest state in the country for switching registered agents. Online filing through the Oregon Business Registry processes in 1 to 3 business days; paper filings take up to 2 weeks. The new agent must consent in writing.
-
What happens if my Oregon LLC loses its registered agent?
You have 45 days to designate a replacement under ORS 63.647. After that, the Secretary of State may administratively dissolve the LLC. Reinstatement under ORS 63.654 is available for 5 years after dissolution and costs $100 plus $100 for each missed annual renewal. The 5-year reinstatement window is among the longest in the country, so a forgotten renewal isn't fatal but the cumulative back-fees scale quickly.
-
Does Oregon require me to file online to change registered agents?
No. Oregon accepts both online and paper Information Change filings, and both are free. Online filings through sos.oregon.gov process in 1 to 3 business days; paper filings take about 2 weeks plus mail transit. The main advantage of online is speed, not cost. See the Oregon LLC formation page for the full online filing workflow.
-
Does Oregon operate a commercial registered agent registry?
No. Unlike Delaware and Wyoming, Oregon doesn't maintain a separate registry for commercial agents. Any qualifying Oregon resident or authorized entity can serve as registered agent for any number of companies. Combined with the $0 change fee, this makes Oregon an unusually flexible state for moving between agents, which is why Oregon-specific boutique services are able to price well below the national average.
-
Do I need a registered agent for a Oregon LLC?
Yes. Oregon law requires every LLC to designate a registered agent with a physical street address in Oregon and availability during business hours. There is no exception for inactive or small LLCs. If the LLC loses its registered agent and doesn't designate a replacement within the state's grace period, Oregon begins administrative dissolution of the entity.
-
How much does a registered agent service cost in Oregon?
National services range from $99 per year (ZenBusiness) to $299 per year (Firstbase). The $190 average is close to the market median. Oregon-based local registered agent services also operate in the state, typically pricing between $50 and $150 per year.
-
How do I change my registered agent in Oregon?
File Information Change Form with Oregon Secretary of State - Corporation Division. The fee is free. Online filing is accepted. Processing takes about 2 business days. Most formation services handle this paperwork for free when you sign up.
-
Is the registered agent fee tax deductible?
Yes. Registered agent fees are an ordinary and necessary business expense deductible on the LLC's federal tax return (Schedule C, Form 1065, or 1120/1120-S depending on tax treatment). Oregon state tax treatment follows federal on this deduction. Keep the invoices with your tax records.
