The quick read on Utah registered agents

Every Utah LLC is legally required to maintain a registered agent with a physical street address in the state. The role is to receive service of process (lawsuit papers), state tax notices, and other official government mail on the LLC's behalf. You can serve as your own agent if you live in Utah and meet the requirements, or hire a commercial service for typically $99 to $299 per year.

Utah-specific rules matter. The statute is Utah Code § 16-17-203. The registered agent's address goes on the public state record, so most owners who want privacy use a paid service to keep their home address off the record. Owners who live in the state and don't mind the public listing often save $100 to $250 per year by serving as their own agent.

Who can serve as a registered agent in Utah

Utah requires an individual Utah resident at least 18 years old with a physical Utah street address, or a domestic or foreign entity authorized to do business in Utah. Commercial agents that act for multiple LLCs must file a Commercial Registered Agent Listing Statement under Utah Code § 16-17-201, which is Utah's version of the Delaware/Wyoming commercial agent registry concept. National services (Northwest, Bizee, ZenBusiness) are already listed.

The LLC's own member or manager can serve as registered agent if they meet the Utah residency requirement, and individual agents serving only one LLC don't need to file a commercial agent listing. Utah's Model Act adoption means the mechanics are slightly more formal than in non-Model states, but the practical experience for small LLC owners is the same.

What Utah requires of a registered agent

  1. Physical street address in Utah

Not a PO box, not a mail-drop. The address becomes part of the public record visible on the Secretary of State's business entity search.

  2. Available during business hours

Typically 9 AM to 5 PM, Monday through Friday. The agent has to be physically present (or have staff present) to accept service, not just reachable by phone or email.

  3. At least 18 years old and a resident or registered entity

Individual agents must be 18+ and reside in Utah. Entity agents must be registered to transact business in Utah.

  4. Written consent on file

Utah requires the registered agent to consent in writing to serve. Formation services handle this automatically when you sign up. For an individual agent, a simple signed consent letter suffices.

Choosing the right registered agent in Utah

Utah is a state where DIY works genuinely well for residents. The $18 annual renewal and the $15 Registration Information Change fee keep ongoing compliance costs low. Self-serving as agent saves $100 to $150 per year with the standard public-record exposure tradeoff on your Utah address in the Division of Corporations entity search.

For non-Utah residents or those preferring address separation, Northwest at $125 per year and Bizee at $119 after year one are standard mainstream picks, both listed as Utah commercial agents. ZenBusiness starts at $99. Utah-specific boutique services sometimes price at $39 to $75 per year. Because Utah's annual renewal is already low, the value proposition of a commercial service is primarily privacy and reminder-handling rather than fee reduction. A $125 service paired with an $18 annual renewal puts total annual Utah cost at around $143, which is well below most states' base compliance costs.

If you let your Utah registered agent lapse

Under Utah Code § 48-3a-708, the Division of Corporations may administratively dissolve an LLC that fails to maintain a registered agent or renew its annual registration. Reinstatement under § 48-3a-709 must be filed within 2 years of dissolution and costs $54, plus any unpaid fees, taxes, interest, and penalties that accrued during dissolution. At $18 per year for the annual renewal, back-fees are modest even for multi-year lapses. The 2-year reinstatement window is standard for the region. After 2 years, the LLC name becomes available to other filers and the entity must be reformed.

Frequently Asked Questions

  • Who can be a registered agent for a Utah LLC?

A Utah resident at least 18 years old with a physical Utah street address, or a domestic or foreign entity authorized to do business in Utah. Commercial agents acting for multiple LLCs must file a Commercial Registered Agent Listing Statement under Utah Code § 16-17-201. Individual Utah residents serving only their own LLC don't need to register. The LLC's member or manager can serve if they meet the residency requirement.

  • What does a Utah registered agent service cost?

National services range from $99 per year (ZenBusiness) to $299 (Firstbase). Northwest at $125 per year and Bizee at $119 after the free first year are common mainstream choices, both listed as Utah commercial agents. Utah-specific boutique services price as low as $39 to $75 per year. Utah's low $18 annual renewal means total annual compliance cost lands around $143 with a $125 service.

  • Can I be my own registered agent in Utah?

Yes, if you're a Utah resident, at least 18, and have a physical Utah street address (no PO boxes). You must be available during business hours to accept service of process. Your address appears on the public Division of Corporations entity record. If you serve only one LLC, you don't need to file a commercial agent listing.

  • What does it cost to change my Utah registered agent?

$15 for the Registration Information Change Form (standard agent change for a single LLC), filed with the Utah Division of Corporations. Commercial agent changes are a separate $52 fee. Online filing through businessregistration.utah.gov is accepted and processes in 1 to 2 business days. The new agent must consent to the appointment.

  • What happens if my Utah LLC loses its registered agent?

The Division of Corporations can administratively dissolve the LLC under Utah Code § 48-3a-708 after about 60 days. Reinstatement under § 48-3a-709 costs $54 plus any unpaid fees and taxes. Utah's cheap $18 annual renewal means back-fees are modest, so a 2-year lapse typically costs about $90 total to cure.

  • Does Utah operate a commercial registered agent listing?

Yes. Utah adopted the Model Registered Agents Act at Utah Code Title 16 Chapter 17, which requires commercial agents serving multiple entities to file a Commercial Registered Agent Listing Statement with the Division of Corporations. Changes to a commercial agent listing are $52. See the Utah LLC formation page for the full filing workflow.

  • Is Utah a good state to form an LLC for non-residents?

Utah isn't a primary destination for non-resident LLCs the way Wyoming or Delaware is. The $18 annual renewal and $59 formation fee are cheap, but Utah doesn't have Wyoming's anonymous LLC statute or Delaware's Chancery Court pedigree. For Utah residents, forming at home is the right call; for non-residents, Wyoming typically wins on both privacy and price.

  • Do I need a registered agent for a Utah LLC?

Yes. Utah law requires every LLC to designate a registered agent with a physical street address in Utah and availability during business hours. There is no exception for inactive or small LLCs. If the LLC loses its registered agent and doesn't designate a replacement within the state's grace period, Utah begins administrative dissolution of the entity.

  • How much does a registered agent service cost in Utah?

National services range from $99 per year (ZenBusiness) to $299 per year (Firstbase). The $190 average is close to the market median. Utah-based local registered agent services also operate in the state, typically pricing between $50 and $150 per year.

  • How do I change my registered agent in Utah?

File Registration Information Change Form with Utah Division of Corporations and Commercial Code (Utah Department of Commerce). The fee is $15. Online filing is accepted. Processing takes about 2 business days. Most formation services handle this paperwork for free when you sign up.

  • Is the registered agent fee tax deductible?

Yes. Registered agent fees are an ordinary and necessary business expense deductible on the LLC's federal tax return (Schedule C, Form 1065, or 1120/1120-S depending on tax treatment). Utah state tax treatment follows federal on this deduction. Keep the invoices with your tax records.
